Listed Companies' Financial Governance Structure

Now there is serious unbalance between power and responsibility under agency. It is mainly in exterior market restricted and interior structure restrict. Inside control has become a very popular phenomenon that has no restriction between flow and division of wealth and right in interest group. For example, the abuse of controlling, the random of decision-making, no consciousness of risk protection. All of these are attributed to interior monitor failure. And it makes the financial governance the focus of society.As the prolongation of company governance, financial governance gets more and more recognition. China began this research in 2001, now has gotten many fruits. But as a bran-new field, there are still a lot of things needed to be researched.That's the reason why this paper select financial governance structure as the topic of master thesis. This paper examines and presents basic proposition of financial governance, gives detailed exposition to current situation of financial governance in China's listed company and tries to build an efficient framework.This paper consists of four parts.Part1 instruction, which suggests the problem that we are to discuss, presents research condition and evaluation to the research condition and the significance of improving financial governance.Part2 basic proposition of financial management, which is the theoretic base of analysis. Which suggests the meanings of financial governance structure and points out the essence of financial governance structure is the distribution of financial rights.
