The Research Of China's Resource-based Enterprises Risk Management Of Overseas M&A

In the current context of economic globalization, China's resource-based enterprises are accelerating the international operation pale by overseas M.& A. in order to ease the contradiction between supply and demand of domestic resources, to realize technological upgrading of enterprises and to enhance their international influence and competitiveness. According to the background, the thesis focuses on the Overseas M.& A. risk management of China's Resource-based Enterprises, comprehensively analyzes the related risks to overseas M.& A., and puts forward corresponding measures and methods of risk management.For the Overseas M & A risk management of China's resource-based, this article first starts to research from the basic theory of overseas M.&A. and risk management, deeply analyzes the current status and characteristics of China's resources enterprise overseas M & A, the internal and external risk factors related to overseas M & A, and the key processes risks and special risks, puts forward a two-pronged management measures by enterprises and government to prevent and manage the risks in the process of china's resource-based enterprises overseas M & A, to improve success rate of China's resource-based enterprises Overseas M & A, to enhance the capability of China's resource-based enterprises overseas M & A, and enhance its international competitiveness. Finally, by the analysis of SPC CNPC acquisition case, integrating theory with case well proves the validity and applicability of the research results.This paper uses new perspective to select overseas M & A risk management of China's resource-based enterprise as the study object, to select new case that is SPC CNPC acquisition case as the study case which acquisition motivation is not the traditional energy sources motivation, but rather is to seek a new oil international strategic development platform. Today, the activities of China's resource-based enterprise overseas M & A are very active driven by various types of motivation. Effective risk management of overseas M & M will help increase the acquisition effectiveness and efficiency, so this thesis is valuable to China's resource-based enterprises overseas M & A risk management and has stronger practical significance.
