As the increasing of economical globalization, FDI (Foreign Direct Investment) plays a more and more important role in the development of world economy. So developed countries as well as newly market economy countries come to adjust the developing strategies, adopting plenty of measures of incentives, to encourage the FDI of domestic companies. The U.S. is the biggest country in FDI, whose, by 2008, accumulative FDI come to 3.162 trillion dollars. At the same time, according to long history of FDI, the U.S. made up a lot of huge multinational companies and acquired mature experience. Taking advantage of the resource and market of oversea, they improved the U.S.'s economical development and be a strong growth of U.S. economy.China, for a long time, adopt the open up policy, which, in the newly background of international environment, must develop FDI as a measure to handle with international competition and promote the adjusting of domestic structure. However, the FDI of China is still at the initial stage. We should learn from the successful experience integrating with the China's condition and consummate the FDI policies. This will be practical meaning for China's FDI development.This dissertation is based on the theory of FDI to conclude the differences of both countries'FDI and the shortcoming of China to improve. Then, this dissertation compares the laws, policies as well as administrations and services of FDI in both countries and the trends in the future in order to find out gap between both countries. According to the successful experiences as well as the situation of China, this dissertation propose some policy suggestions for developing the FDI in China.
