Study On Mode Selections Of Enterprise M&A

With the economic globalization processing,our economy is progressively blending into world economy, and our enterprises are being putted to the advancing front.As an important approach to enterprise development,M&A(merger and acquisition) is increasingly paid great attention.However,the mode selection is directly determining odds.For this reason, making a research on the mode selection has great significance to standardizing the M&A and improving efficiency.It is different from the mostly theory emphasizing the motive,the integration,the ways and techniques of M&A that this paper analyzes from the view of the fundamental factors------relations of E&T among enterprises.This paper includes five parts,and the first part is the preface.Secondly,paper introduces the relations of E&T among enterprises that include "hard" and "soft".The hard one formed from relations of equipment and instrument in the course of production operation is dominant,observable and valuable.The soft one from labor's knowledge and experience,entrepreneur's ability,form of organization,corporate culture,which is recessive and neglected.So "hard" and "soft" co-determine relations among enterprises.Thirdly,many M&A mode are reclassified in order to relatively acquainted.According to relations each other, M&A can be classified as the same type,the interrelated and the mixed.Meantime,three types are further subdivided according to respective technical conditions.The forth part roundly explores factors who influence M&A mode.The most important factor that determines M&A mode is Relations of E&T among enterprises.This part pays attention to influences of property system,growth strategy,development stage and market structure.The last part draws some conclusions,which sums up the paper and puts forward main views.
