In this thesis, the writer assumes the production and sale enterprises depute assignments wholly to the 4PL . Then 4PL analyses and divides the tasks into parts to the specialized 3PL. The so-called out-sourcing is a business and important form to carry out contracts, which is long-term, strategic, helpful and beneficial to both sides.Based on the operation of 4PL and the achievements of 4PL out-sourcing researches, this text will focus on the deeper research on the mechanism of the 4PL out-sourcing. Firstly, build the virtual enterprise frame which is based on the model of 4PL and design the harmony agreement among agents, using the technique of multi-agents. Secondly, apply the limited and reasonable Game Theory to analyze the stability of the cooperation between 3PL and 4PL. Discuss the situations between single 4PL to many 3PLs individually. Conclude the balanced analysis of breaking down between enterprise cooperation. Then under the two different situations—balanced and unbalanced, 3PL undertakes the further analysis of the motivation of single and multi-items assignments. According to the above, the writer deduces the basic model of 4PL out-sourcing. During the course, discuss the fees of out-sourcing's process supervise based on the fixed and movable logistic out-sourcing. Finally, according to the principle of 3PL integrated assessment target system, build a scientific target system of 3PL assessment and deduce the necessary procedures a 3PL enterprise must go through.
