Employee Stock Ownership plan (ESOP) is an employee beneficial plan, which is based on two-factor theory, the theory of Sharing Economy and the theory of economic democracy in socialism. ESOP has played a positive role in many countries' economy, it's a powerful incentive to motivate the staff, and therefore promote enterprise development.ESOP has been succeeded in many counties as American, Japan and France, however, it's a new style in our country, and still need development. ESOP in China has been used as a Tool for short-term benefits, or making profit illegally from Listed Companies. Distort the use of ESOP have a negative impact on the development of ESOP in our country. Our government never announced strong support for the development of ESOP. ESOP in China's development prospects is uncertain.In view of this situation, the present study gives an advantage analysis of ESOP in Chinese intelligence-typed enterprises, which is based on the actual situation of ESOP. It is an optimization method to encourage the growth of ESOP in Chinese intelligence-typed enterprises first, and then encourage the growth of ESOP in other enterprises. What's more, the present study analyze the Characteristics of intelligence-typed enterprises, and showed that ESOP is suitable for the intelligence-typed enterprises.Next, based on the status quo of ESOP and the current law in China, the thesis makes recommendations on key steps to setting up an ESOP in the intelligence-typed enterprises, which is committed to make the ESOP work efficiently.At the end of the thesis, there is a ESOP case from J company, which is an state-owned intelligence-typed enterprise. This case echo and provide evidence for the earlier argument .Through case study, the thesis present some reference for the similar companies.
