About the model that building efficient incentive and restraint mechanisms of China's commercial banks, some scholars in the theory field try to introduce the modern western incentive and restraint mechanisms, but I think that at present realistic situation of our country does not suit the application of western theory, we can seek the success model from our 5,000 years splendid civilization, exactly, Shanxi Bank is this kind of successful model.This article seeks the development direction of incentive and restraint mechanisms from historical angle, bases on the research of incentive and restraint mechanisms of Shanxi Bank, combines history with the reality and finds a way that consummating incentive and restraint mechanisms of China's commercial banks. Firstly, this article studies the organization system and the mechanism of selecting to the staff. All this are the foundation of the next part. Secondly, it analyzes incentive mechanism and restraint mechanism of Shanxi Bank. The incentive mechanism of Shanxi Bank was multi-level and all-around, it taken the labor forces shares as the core, taken the salary system as the assistance, coordinated the munificent welfare treatment and the spiritual culture life and provided several years dividends to the late staff to relieve their extra worries. The restraint mechanism was integrated with the morals and system, internal and external constraint mechanism, it taken the Confucian culture ethics and morals as basic, there were regulations and rigorous financial audit system internal, there were clan law and the guarantee with guild's restraint exterior. All this restrained business activities of all people in the Shanxi Bank. Finally, it raises the enlightenment that incentive and restraint mechanisms of Shanxi Bank to our country commercial banks. Our country commercial banks may try out the human capital system to provide a long-term incentive for employees, improve pay and benefits and increase training and promotion channel to encourage employees from the matter, the spirit, the future and so on. Simultaneously they can strengthen internal controls and financial audit system, speed up the construction of professional manager market to restrain the management behavior from the prestige and market, consummate the construction of bank enterprise culture to standard staff's behavior from morals, spirit and system.This article on the one hand may provide concrete historical basis to the research on incentive and restraint mechanisms in the theory field, in order to further study the issue; On the other hand, it can provide historical model to the construction of incentive and restraint mechanism of our country commercial banks, in order to build efficient incentive and restraint mechanisms that better suitable for the realistic situation of our country at present.
