Looking at the world, most countries have set up policy-banks and promulgate the correspondent law and policy. Thanks to the crucial effect of policy-banks in both national economy and financial system, every country concentrates on the exploration of the legal system. Chinese government found China Development Bank, The Export-Import Bank of China and Agricultural Development Bank of China in 1994, so we formulated a new financial structure that central bank control"aggregate balance", commercial banks pursue"economic profit", policy-banks implement"structure variation". We can guide social investment, and promote better allocation of resources. China's financial system is a significant step forward and has special significance. However, with the deepening of reform and opening up and the socialist market economy to develop in depth, although China's policy banks also innovate, the theoretical study of the legal system is relatively limited. Special legislative practice is seriously lagging behind in economic development. So far, China still does not have a specific Policy Banking Act. The legal documents on policy-banks, has remained only at the policy level and the low rate of the administrative level, does not have the legal authority level, systematic and standardized. The legal system of policy-banks is considered an indirect mean of economic adjustment, so the operation of the system should be talking about it. However, the legal theory and the state system is almost a total blank, Chinese government departments and social sectors have failed to reach a consensus on the market position and development of policy-banks, so it seriously hampering the business of policy-banks and functional expansion. And if we allow this to continue, and still without the normative and legal guidance, the results may lead to more serious. Especially the accession to the World Trade Organization, policy-banks and other financial institutions in China also face new tests and challenges. Back in 2002, relevant departments of the State Council conduct extensive investigations on the issue of legislation for the policy-banks.In this paper, I use comparative analysis of the actual survey methods in the selection of policy-banks, and based on the legal analysis of the birth, nature and the necessity of existence of policy-banks, I draw the massive influx of foreign policy and their successful experience in the banking system and figure out clearly that the current policy banks in the course of practice and the reasons for the problems. I point that we should according to the conditions of our country, improve and perfect the legal system of China's policy banks, particularly from the legislative point of the analysis, trying to make legal system to protect their healthy development. So that China's financial system can promote a better and more stable operation of the national economy.
