With the overwhelming growth of our macro-economy, most Third-party logistics enterprises quickly find their reasonable places. Social approval degree of Third-party logistics has since enhanced and social effective demands of Third-party logistics has actually increased, guaranteeing the stable growth of their clients and thereby brightening the prospect of the Third-party logistics industry. But after cthe logistics market was opened whole, and more foreign logistics enterprises entered China's logistics market. But a phenomenon of'small, weak and disperse'existed during domestic logistics enterprises. Compared with these foreign logistics enterprises, domestic enterprises had not obvious business advantage with low core competitiveness, leading to the lack of competitiveness, or even a waste of social resources. Mergence and acquisition is an important portfolio of enterprise operational mechanism.It means that an enterprise accommodates one or more other enterprises, leading to the recombination of the factors of production, the continuous adjustment of production process, a reconfiguration of internal institution and the increasingly sensible scale of production and organization. All above enable domestic third-party logistics enterprises to meet the value-added capital requirements based on a greater range and a more rational structure. Confronted with competition from so many international logistics enterprises, mergence and acquisition becomes an important means, for domestic third-party logistics enterprises, to survive and develop in competition.In accordance with the related theory of mergence and acquisition,this paper Studies the mergence and acquisition in third-party logistics with the character of logistics enterprises, summarizes the strategic considerations for mergence and acquisition ,then analyzes third-party logistics enterprises'motives for mergence and acquisition from macro and micro perspectives respectively, discusses the choice of target enterprises——an important stage of mergence and acquisition, explores both of positive and negative effects in different modes of acquisition and finally puts forward proposals for perfecting logistics enterprises in China.
