Human Capital is the most active and critical competitive element in the era of knowledge-based economy. With the progress of sci-tech, the position of human capital is continuously improved. Meanwhile, with the progress of enterprise traditional enterprise system to modern enterprise system, human capital has witnessed a steady improvement in its function in the creation of enterprise value. In the environment of knowledge-based economy, the development of enterprises increasingly relies on its own human capital. With the improvement of the position of human capital, human capital will surely take part in the distribution of the income of the enterprise. Ensuring the rational benefit of the human capital is the internal requirement of improving the theory of our income distribution and perfecting income distribution system. Therefore, the study of the innovation of the state-owned human capital involvement in the income distribution of the enterprise is not only an important theoretical problem but an important practical one.There are 4 chapters in this paper:In the Chapter 1, it first talks about the background and the purpose of this research. Second, it describes the status of theories about human capital taking part in the distribution of the income of the enterprise. Some Chinese enterprises have attempted to let human capital take part in the distribution of the income of the enterprise. But there are still many problems to be studied and solved.In chapter 2, on the one hand, it's about the theoretical basis of human capital taking part in the distribution of the income of the enterprise. Firstly, it introduces the concept of the human capital and the development of enterprise distribution theory; secondly, it talks about the theory of Human capitals making a major contribution in the economic growth and Human capital theory of property rights. On the other hand it talks about the realistic gist of the human capital taking part in the distribution of the income of the enterprise, from both theory and reality. Chapter 3 first introduces models of human capital taking part in the distribution of the income of the enterprise. Next it expounds the implementation of models of human capital taking part in the distribution of the income of the enterprise in the United States and Japan, and talks about how these experiences can help our Chinese enterprises.Chapter 4 first reviews several stages of income distribution in our Chinese enterprises since the founding of new China. And second it respectively has an research on the various models of human capital taking part in the distribution of the income of the enterprise in china, such as the Annual Salary System, the Employee Stock Ownership Plan, Stock Options and Management-Buyout, paints the implementation of these models, points out the problems and address the corresponding countermeasures. This study concluded:(1)There are reasonable and reliable basis for Human capital taking part in the distribution of the income of the enterprise both in the theory and on the reality.(2)Chinese enterprises can learn the successful experiences of foreign enterprises by considering the specific circumstances of the enterprises and China's national conditions.(3)The targets of the annual salary system should be the principal responsible person. We must establish a performance evaluation mechanism for the operators, and control the "post consuming". In the process of Employee Stock Ownership Plan's implementation should set up their initiative and bring them benefits. When we use the model of MBO, we should establish reasonable price evaluation mechanism to prevent the loss of state assets and improve transparency of information, and guard against moral hazard.(4)Generally speaking, when our Chinese enterprises carry on the implementation of the human capital taking part in the distribution of the income of the enterprise, on one hand we need to establish and improve the operators'talent market and improve the supporting legal system; on the other hand we also have to establish a clear property rights system and a perfect stock market.The novelty of this paper:(1)Sum up the researches on human capital theory of predecessors from views of Economic growth theory and Human Capital Property Rights. (2)Have a research on the concept of "capital" from its source. Synthesize the Chinese and foreign scholars'studies on human capital in order to make readers understand the concept of Human Capital more clearly.(3)Considering the successful experiences of developed countries and China's current situation, Chinese enterprises should carry on the models of the human capital taking part in the distribution of the income of the enterprise.(4)Have respective researches on the models which Chinese enterprises are implementing in the current time of human, point out the problems and at the same time propose appropriate solutions.The shortcomings of this paper are: As the shortages author's practical experiences and low theoretical level, there are too more Theoretical Studies and much less Empirical Studies are inadequate.
