Research on institution of community co-management in forest is a theme of institutional arrangement essentially. Based on theories of institution economics about Marx and New Institutional Economics which including property rights, institution innovation and transition, this paper points out that institution arrangement, which is a problem of institutional structure, should include government' s institutional supply, market institution and community institution. The new institutional arrangement means denial and transition of the initial reasonless institution, so avoiding government failure and market failure by institutional revising must be done. Compared with the controlling by government, the co-management has some performances about institutional innovation and transition which contribute a lot to the superiority. The thesis is divided into six parts.
