With the rapid development of Small and Medium Enterprises (SMEs) in China, SMEs play an important role in economy of our country. The SMEs domain was set up in Shenzhen stock market in 2004, which develop a wider channel for small and medium enterprise'direct financing. Since the scale of SMEs is small and corporate governance is less perfect, the improvement of corporate governance is still in the stage of beginning and exploring. The research of the independent director on the corporate governance, which is basing the corporate performance, can help us recognize the validity of independent director system in our country,can further perfect independent director system and corporate governance of SMEs.Firstly,the article analyses the situations of public company listed on small and medium enterprise board ,pointing out the advantages and existent blemishes on the manage mode, which are basing on the actual situations., It also explains the necessity that why the independent director system should being leading into. Secondly, it has analyses between the independent director system of public company listed on small and medium enterprise board and the corporate performance. From the inner logic relation of them, we put forward several research assumptions. Thirdly, we carry on a description analysis and empirical research on the assumptions, which is from the rate, salary, the rate of the independent director attending the meetings and being an independent director in the other company. Finally,we were combining the existent problems in our country, to put forward several proposals and policy suggestions, which are about how to strengthen the independent, strength the incentive and restrictive mechanism.
