Study On The Independent Director System Of Our Private Listed Companies On Corporate Performance

Nowadays, the private listed companies give full scope to the economy of our country, but the improvement of corporate governance of it, is still in the stage of beginning and exploring. Currently, there is still no systematic research on it. So, the research we have about the interrelations between the corporate performance and the independent director system, which is introduced to improve the listed companies, has an important theoretical and realistic meaning .It can further perfect independent director system and corporate governance of private listed companies.Firstly , the article analyses the situations of the private listed companies ,pointing out the advantages and existent blemishes on the manage mode, which are basing on the actual situations., It also explains the necessity that why the independent director system should being leading into. Secondly, it has logical analyses between the independent director system of the private listed companies and the corporate performance. From the inner logic relation of them, we put forward several research assumptions. Thirdly, we carry on a description analysis and empirical research on the assumptions, which is from the rate, salary and the rate of the independent director attending the meetings. Finally, we draw lessons from the practice of the foreign independent director system, combining the existent problems in our country, to put forward several proposals and policy suggestions, which are about how to strengthen the independent, strength the incentive and restrictive mechanism and improve the information guarantee system.Therefore, the research of the independent director on the corporate governance, which is basing the corporate performance, can help us recognize the validity of independent director system in our country. Moreover, we should take advantage of various experiences of western developed countries to perfect the system of our country. It would be significant to the improvement of the corporate governance system.
