Commercial secrets have become an important part of enterprise technological innovation as our country socialist market economic development.It's the important intangible assets of enterprise. It's as an important means that enterprises develop and maintain a competitive advantage. It has an important impact in market competition for survival and development. Along with rapid economic development, the protection of commercial secrets is particularly important to the survival and development of enterprises as the competition amongs enterprises becoms more fierce. Currently, the flow of talent gradually accelerated, many people switched to a better business and more generous remuneration as their own life goals. As many enterprises do not have a strong sense of confidentiality, preventive measures are imperfect, with our country's establishment of the legal protection of commercial secrets system has a late start, and there are still many imperfections, therefore the job-hop personnel discloses commercial secrets are common sights nowadays. When key employees quit to find another job or own, Commercial secrets of the original company were leaked,that not only seriously damaged the rights of the interests of enterprises, but also upset the market economic order.Therefore, strengthening the enterprises themselves confidentiality awareness and preventive measures, formulating and improving the legal system for the protection of commercial secrets are extremely urgent.This paper summarizes and analyzes the protection of commercial secrets on the state of legislation and the existence of insufficient. And then, against the current situation of the enterprise job-hop personnel disclosing commercial secrets, analysis the deep-seated causes : First, the labor system and the talent market are not standard. Second, the legal system is not sound. Third, the enterprises awareness of prevention is weak, the Security measures is imperfect. Fourth,interest-driven, massive commercial return. Five, confidential range of commerce is difficult to delimit ,brings uncertainty to uncertainty protection. Finally this paper,from the enterprise level and the legislative level ,Suggest the countermeasures of the commercial secrets disclosed by enterprise job-hopping personnel: First, improving corporate business secrets protection measures, and the second is to improve our country legal protection of commercial secrets countermeasures.
