Finance and banking is the center of the modern economic life, whose safe and stable development is very important to the whole system and society. However, since the nineties of the 20th century, with the continuously extending of the bank scale, a series of loss affairs from the operational risk stocks international finance. So, managers began to attach importance to operational risk in the commercial banks. And how to manage operational risk becomes the forward problem in international finance's theory reach and practice.On December 11,2001, when the Doha meeting came to an agreement, China joined the WTO formally, becoming the one hundred forty-third member of WTO. It also brought large opportunities and challenges for the domestic commercial banks in the risk management. Finance and banking has taken sufficient attention on credit risk and market risk management, not operational risk. But in fact, operational risk resulted in many cases of credit risk and market risk. Therefore, the management of operational risk to domestic commercial banks is a new topic.This paper elaborates on the theory of operational risk in the commercial banks at home and abroad, gives a definition for operational risk in the commercial banks, elaborates the characteristics, type and quantitative criteria of operational risk in the commercial banks, gives an outline the basic framework , strategy and management tools of operational risk management. Based on analysis of the present situation of operational risk management of China Merchants Bank and reasons for the poor management of domestic commercial banks, it gives some preventive Countermeasures of Operational Risk for China Merchants Bank, Lanzhou Branch.
