National-owned enterprises have always played a leading role in development of our national economy,its profit directly affects the prosperity and stabilization of national socialism construction. The profits of the national-owned enterprises depend on not only the macroscopic environment of economy but also the microcosmic level of management. Therein particularly the entrepreneurs'ability and activity of management are of great importance to the enterprises'performance. In some sense, one of the efficiency springhead of nowadays national-owned enterprises is to make use of heterogeneity entrepreneurship's human capital. Therefore the theory study and practice research about the motivation of the entrepreneurs has been a hotspot for a long time in our national circles of theory and industry.The two modes to motivate the entrepreneurs are the compensation motivation and the non-compensation motivation. And compensation motivation has been paid more and more attention. However, compared with foreign enterprise and national other typed enterprise, there is a big gap in our national-owned enterprises.In the background of realistic condition and based on the analysis of the definition of heterogeneity human capital and property of heterogeneity human capital, this paper discusses that only we consider the entrepreneurs'human capital the rare resource of humanity we could establish the scientific compensation motivation system of national-own entrepreneurs. And this paper draws a conclusion that the exertion of entrepreneurs depends on the achievement of the value of their human capital. This paper also sets up the income avail model of national-owned enterprises. It could fix on the extent of entrepreneurs'most effort in the fixed compensation. In the final analysis, this paper argues that in the motivation system of present enterprises, people don't pay enough attention to the effect of entrepreneurs'human capital, they don't realize that the effect of entrepreneurs'human capital formed during the growth and its active use exceed the substance capital in the creation of surplus profits. So the entrepreneurs'human capital should share the property right of enterprise with substance capital and given the correlative policy propose.
