In recent years, the investors, medium and public all pay attention to Senior Managers'compensation more and more, They Put forward a lot of queries. For example, whether the senior managers'compensation is too high or not? Who decide the senior managers'compensation? How to resolve the problem that The incentive of compensation for senior managers is bad. The listed companies in information technique industry also have many problems about compensation incentive of senior managers,and the problems are more outstanding.The listed companies in information technique industry belong to the high new technique industry ,they are important part in listed companies of technique industry. The incentive of compensation of the listed companies in information technique industry is special, need to research thoroughly.now,the split share structure reform is ongoing. January 1, 2006,the shares ownership incentive management approach of the listed company, the new company law and the new securities law were effective. They are the legal basis for compensation incentive.so it is important to discuss the senior managers'compensation incentive of the listed company in information technique industry ,to improve the status of the human capital and the core Competitiveness.This paper uses the research method of Empirical Study ,On the foundation of discussing the related research results and theoretical analyzing, this paper puts forward the research hypothesis of relation between the senior managers'Annual salary and the size of senior managers and the performance index of the company ,and the relation between the senior managers shareholding ratio and the performance index of the company. Collects the listed companies in information technique industry since 2004 to 2006 as research sample ,and chooses variables, confirms the linearity relationship between the senior managers'Annual salary and the size of senior managers and the performance index of the company with the method of multivariate linear regression, and proves the relation between the senior managers shareholding ratio and the performance index of the company with the method of linear regression and nonlinear regression.The Empirical Study shows that, the senior managers average annual salary and the chief executive officers annual salary are all positive and linear correlation related to the size of the senior managers and Earnings Per Share.the Earnings Per Share and the return on equity are a inverted U curve correlation related to the senior managers shareholding ratio, of which the critical point is 8.804%and8.221%,that are different to the research result of McConnel and Serves, their critical point was 27.9%.on the basis of the The Empirical Study, with the Features of information technique Enterprises and the practice and experience of senior managers'compensation incentive in foreign listed companies, this paper puts forward some Discussions which are about the human capital exchange shares and annual compensation system ,and suggestions which about decision-making Mechanism of compensation that includes reforming the committee of compensation and the model of compensation incentive that includes enhancing the shares ownership incentive ,for the senior managers of the listed companies in information technique industry.
