Along with the discussion of the modern enterprise theory about the company governance, more and more have realized that the maximization of shareholders benefit is not the only goal which the enterprise pursues, and they have realized that the enterprises should take more society responsibilities. According to analyzing the commercial bank particularities, the commercial banks are different from the common enterprises in many aspects, such as financing structure, property transaction and management goal. That decides the commercial bank should protect the stakeholders benefit, and seek the proper stakeholder co-governance mechanism. In the practice, the international greatly well-known commercial banks, like the Deutsche bank and the Japan Mitsubishi Bank have manifested the thought of the stakeholder co-governance, which is worth our country commercial banks profiting from.Writer analyzes whether stakeholders co-governance mechanism in our country commercial banks have the positive influence to the commercial banks achievement, and summarizes present situation and the questions existed in the stakeholders co-governance mechanism of our country commercial banks. Then, attempt to propose the countermeasures to consummate the stakeholders co-governance mechanism in our country commercial banks, for example, advancing the reform of commercial banks stockholder's rights multiplication; constructing the effective commercial banks board of directors and the board of supervisors; consummating the mechanism of policy-making system; developing the mechanism of multi-level surveillance representing the various stakeholders, perfecting the mechanism of disclosing information and so on.
