The socialist market economy reform in our country has obtained the performance from 1990s. The establishment of the modern enterprise system is our country economic reform center link, construction of the enterprise manager selects and the incentive & restraint mechanism is the center that establish the modern enterprise system, objective and correct appraisal to the manager performance is the premise that consummates the manager the incentive & restraint mechanism , that also is raised in order to strengthen the right of capital property ownership control and the company internal control after the modern company system establishment.Formerly, we take the enterprise performance appraisal as the enterprise's performance appraisal, which cannot really reflect manager's performance; On the other hand, we regard the traditional financial norm as appraisal standard, but cannot reflect the manager's performance accurately because the financial norm cannot reflect manager's performance from the enterprise strategy angle. The research on the city commercial bank manager's performance appraisal system is very few and is not according to the life cycle to discriminate different time, the author think that manager's performance appraisal system should protect the investment person's rights ,take strengthening the enterprise core competitive power as a goal, considered fully the influence of each kind of uncontrolled factor of management performances, pay attention to the benefits of shareholder' rights and interests, and unify with manager's reward plan.This article's significance lies in: 1, from the shareholder' angle, the manager's appraisal system can coordinate conflicts of interest between manager and other shareholder, it causes both sides to establish trust mutually, the city commercial bank's manager and other shareholder have Different property rights, especially in the information need and the use aspect, the manager has the advantageous superiority, so we can standard manager's behavior by use of the appraisal system.2, From the angle of manages of the city commercial bank, the manager's performance appraisal system is the important part of the modern enterprise system, on the other hand ,it's also the strategic implementation method, manager's performance appraisal system may transform the strategic target to the concrete target, thus can instruct developmental strategy of the manager's performance appraisal system .3, To manager individual, manager's performance appraisal system include many parts of ability appraisal and the inspection, it can analyze the influence of the enterprise development and discover the city commercial bank's short-term benefit and the long-term development ability from many aspect and grasp incidence relation, which achieves the short-term goal and the long-range objective balance well.This article used the literature summary law, the standard analytic method, the investigation analytic method in the article,,takes the growing city commercial bank as an inspection object. Firstly, introduces the manager performance appraisal related concept, then, elaborates theories about the manager's performance appraisal and the domestic and foreign research present situation, secondly, analyses the relation and the difference between the enterprise performance inspection and the manager performance inspection, the author establish an performance appraisal system on the base of the improved balanced scorecard after analyze the city commercial bank 's core competence and the management condition. In the balanced scorecard, author improved the original four dimensional target into five from the important shareholder angle, uses the related target that can reflect the shareholder's target, then uses the Analytical Hierarchy Process to determine various targets weight, solves the weight with EXCEL, Then carries on the hundred-mark system to grade second level of target that been divided different rank, finally calculates that uses the weighted average method on the base of the improved efficiency coefficient method. But we know that enterprise's performance cannot reflect completely manager's management performance, some factors in enterprise's performance can be controlled, on the other hand, such as macroscopic, the profession and so on cannot be controlled, we may remove this part of so-called noise, the left can reflect the manager level of effort, so we establish manager's performance appraisal target system. In the article ending, put forward some proposals to manager's incentive & restraint mechanism.The new creativity of this article lay in 1.Grows the city commercial bank as a center in the balance scorecard for the first time. 2. Increased three appraisal target: risk control establishment, ratio of small customer contribution, ratio of Public fund investment.
