The human society has entered to take knowledge as the leading time, knowledge is gradually substituting for the traditional element of production - capital, workforce and land becomes the most main resources. As market competition intensifying, if organization wants to win and maintain the competitive advantage, they must make best use of knowledge, and unceasingly gain more new knowledge. In the organization, knowledge disperses in different individuals and teams, making knowledge function to the maximum limit, have to carry on knowledge transfer. Knowledge management particularly knowledge transfer in Parent-subsidiary corporation, not only affects survival of the big company or enterprise group's, but also influences enterprise's whole competitive advantage and future. The research on knowledge transfer of Parent-subsidiary corporation, has the important theory and practical significance on regarding the growth of enterprise group and Parent-subsidiary corporation.About the knowledge classification, it mainly contains tacit knowledge and explicit knowledge, special-purpose knowledge and general knowledge, systematic knowledge and independent knowledge, skeleton knowledge and module knowledge four division methods. According to the value chain theory of Porter's, propose the enterprise's knowledge structure, divides the knowledge of enterprise's into functional knowledge and auxiliary knowledge. In Parent-subsidiary corporation network system, the functional knowledge and auxiliary knowledge in parent corporate belong to corresponding knowledge in the Parent-subsidiary corporation. The subsidiary corporate has the completely auxiliary knowledge as well as the partial functional knowledge took the special-purpose knowledge, the partial subsidiary corporate functional knowledge may take in the entire Parent-subsidiary corporation network system with the functional knowledge transfer.Having the common value trend, behavior criterion as well as mutual between strategic relevance, establishing Parent-subsidiary corporation relation above the network structure is advantageous in the organization information sharing, the exchange and the innovation, fully displays the network member's enthusiasm and the creativity.
