With the constant promotion of the process of integration of global economy, as the terminal station of sales, retailing also incorporated this process progressively, have formed the turbulent internationalized tide. Retail enterprises in many countries will face competition not only from domestic enterprises but also from foreign companies. According to the date from the Bank of the World, China has exceeded England and become the forth biggest Economical body in the world, only after America,Japan and Germany. China has totally open retailing for foreign investors on 11st December 2004 , foreign companies can enter China without any limit of areas,amounts of investment and etc.In 2006, the growth of China's retailing reached 112 percent or so, the sum of the resume market arrive at seven thousand and six hundred billions, many factors such as giant market capacity, fast growth, larger middle class and there power of purchase attract more and more multi-national retailing investing in China. You can say it was the First year of annexing by foreign capital in 2006, the annexing by foreign capital happened frequently in 2006.. Comparing with the foreign companies, the domestic enterprises is weaker in the strength of capital,the scale of prosecution,the experience of management and the technology of info. After the multi-national retailing investing in China, it intensified the competition in retailing. For winning in the competition, it is necessary to realize the impact on the country's economy and retailing after the foreign companies invested in China. Through analyzing the difference between the foreign retailing and the domestic retailing, we can discover the distance ,then we can make some measures to help the domestic retailing win in the competition.This paper takes the foreign retailing investment in China as its study subject and makes comprehensive and systematic studies about that bases on the basic theories through qualitative analysis and quantitative analysis and systematically analyzes the situation of foreign retailing investment in China .The paper is composed of five chapters. The first chapter studies on relevant theory; the second chapter introduces the course and the situation of multi-national investment in China; the third chapter analyzes the foreign retailing's impacting on China's economy and retailing; the forth chapter makes a contrast between China and foreign retailingwith a lot of date and analyzes that; finally, through analyzing the competition strategy of China's retailing, gives some suggestions about how to face the competition to China's retailing.
