| There are some new good opportunities to the development of software enterprise in our country, and also some challenges to the software enterprise in our country. In order to be strong, the key problem of our country software enterprise is how to establish a long-term motivation mechanism. In this paper, we analyse the development and future of the theory of stock option motivation, sum up the theory of stock option motivation relative with information enterprise, and analyse the necessary and suitability of stock option motivation to our software enterprise. Based this, from some modes of stock option motivation used by software enterprise in occident, we get some useful suggestion to our software enterprise. Then, we lay emphasis on the current status of our country software enterprise to get the basal character of our country software enterprise, and point out some question and restriction when stock option motivation used in our country software enterprise, also give some suggestion and solution to our country software enterprise when they use stock option motivation. We also use case to detail how to actualize a stock option motivation, and offer reference to our country software enterprise.
