The realization of property right of human capital is a process of endowing human capital of laborer with corresponding power, equity and responsibility, under premise of acknowledging the non-homogeneity of capital and emphasizing the importance of human capital in the manufacture practice. It is the fundamental means to largely lift the effective labor supply of laborers, rebuild the incentive and restraint mechanism of enterprise and solve the long-term puzzle of SOE.The property right of human capital is composed of three aspects including power, equity and responsibility. The power refers to the dominative right and possessive right to the labor force that the human capital should have, therefore the labor force itself should flow freely in the perfect market of labor force. The equity refers to the efficiency or the good things brought by itself of the property right of human capital, shown in detail as the enjoyment of money or materials as well as other satisfaction. Under the system of two-right separation, the equity is more embodied as laborer's residual claim to the enterprise. The responsibility means that each laborer must obey the relations and contracts with someone else and undertake the cost when the contracts are break.On the basis of theory of human capital, property right and incentive, the paper makes a new survey on the reform of SOE from the perspective of the property right of human capital, comes up with the new ideas of deepening reform of SOE by taking the reform of the property right of human capital as breakthrough point. The thesis describes the reform of property right of human capital of SOE in following aspect, including its principle, meaning, possibility of realization, detailed flow process and the problems we should pay attention. Lastly, combined with current practice of SOE, puts forward the basic schedule of reform of the property right of human capital under current system, presenting the countermeasures from organization frame, payment system, incentive means, employment institutions and fundamental management. By designing the station salary system combined with the idea of stock option in the operation layer, the thesis has certain operational and reference meaning to the SOE.
