Study On The Countermeasures To Improve The Corporate Governance For CCB

On September 21, 2004 , China Construction Bank Corporation held the incorporation conference in Beijing , in line with the decision of the State Council and the approval of China Banking Regulatory Commission (CBRC), which is not only a landmark in the history of China Construction Bank (CCB) but also a major achievement of the reform of Chinese banking industry. As required by related laws and regulations, China Construction Bank Corporation has developed the Articles of Association and a modern corporate governance structure composed of the shareholders' meeting, the Board of Directors, Board of Supervisors and the senior management. So, whether this means CCB has already become a good commercial bank with international competitiveness? The answer is a negation. The difficulties of realizing the objectives of the shareholding reform of CCB are to change the way of thinking and mechanism. It is very important to improve the corporate governance structure after the separation, the incorporation and the financial restructuring during shareholding restructuring program.According to the logical sequence of thinking—putting issues, analyzing issues and resolving issues, the paper is made up of four chapters. The first chapter is introduction which describes the paper's background of selected topic, the innovation of this article, the frame structure and contents of the thesis. In this part, the paper describes the definition of corporate governance and reviews some theories concerning corporate governance of banking too. Then the author summed up the researches in this aspect.In the second part, the author compares two kinds of corporate governance for commercial banks(British and American banks, Germany and Japan banks).Then the author summarizes the apocalypse to China Construction Bank from the two kinds of corporate governance.In the third and fourth chapter, the paper made a deep investigation on the corporate governance of CCB. First, the author analyses the status quo of China Construction Bank. Then, the author analyses the shortcomings on the frame and mechanism of corporate governance for China Construction Bank. At last some countermeasures of how to improve the corporate governance for CCB are given in this paper.Two innovative suggestions are putted forward in this article. In the branches of CCB, the problem of "Inside Control" is more severe, so the author put forward the concept of sub-governance for the branches. How to locate the CCP to a good position in the corporate governance for CCB, this paper gives a measure of two stages.
