Copper industry is the fundamental one in national economy. However, in the year of 2015, as the price of copper which is affected by the domestic stock market, importing of copper together with US dollar rallies falls to record lows, copper enterprises have been stepped into cold winter since 2008. With the development of S copper joint venture, its advantages have played a great role in company innovations, but when facing the global economic integration, state-owned enterprises reform and brutal market competition, there are many problems exposed in the process of corporate governance in S company. As a joint venture, S company should grasp opportunities to realize the sustainable development and the improvement of the enterprise competitiveness through these ways such as optimizing its corporate governance structure, enhancing corporate governance level and anti-risk capability and so on.Corporate governance level is the ability that board of shareholders, directors, supervisors and managers use tools, such as corporate governance structure, mechanism and culture to control a company. It has a great effect on performance, development, rights and interests of shareholders. However, corporate governance structure is the core of a corporate governance, and it is crucial for a company that how to optimize it to improve corporate governance level. This thesis consists of seven chapters. In this paper, I focus on the current situation and existing problems of corporate governance structure of S company. To propose some approaches to improve sustainable mechanism and effective corporate governance level by analyzing the cause from status, and combining advanced corporate governance theories with actual conditions of S enterprise. What’s more, building up win-win cooperation and mutual benefits amongst shareholders which are from different culture and background.
