Rent-seeking theory is produced in 1960s and 1970s, but the scattered discourse about the phenomenon of rent-seeking can be traced to Adam . Smith and even earlier. The thought of rent-seeking germinated from Gordon Tullock's paper(1967) named "The Welfare Cost of Tariff, Monopoly and Theft". But the term of "rent-seeking" is lodged by Ann O . Krueger in her paper of "Plutonomy of Rent-seeking Society" in June, 1974. And then this conception became the hotspot attention of the whole world, and the theory gained rapid development.Corporation's rent-seeking is a side of rent-seeking and this paper takes it as that the corporations seek the directly unproductive profit from the government. During the process of the our country's translation from planned-system to social market system, due to the drive of profit and the lack of institutional inhibit, it produces many deeds of rent-seeking when people pursue maximum profit. Corporations' rent-seeking has a large influence on society and economy and can't be neglected during our construction of economy. It has an important and realistic sense for deployment and use of resource and corporations' shape. So we must pay attention to it.Many scholars have made abundant study on rent-seeking; however, it was introduced to our country relatively late. It was introduced to us in 1980s, which makes us find the passive affect of faultiness of market economy and also lets us begin to attach importance to the apply of this theory. Accordingly, our study on rent-seeking becomes more and more perfect. Along with own economy system and reality, this paper tries to analyze our corporation's rent-seeking on basis of existed literature. This article is composed by five parts and its main contents are as follows:The first part is the outline of rent-seeking: introducing the definition, explaining corporations' rent-seeking on the basis of the above, clarifying the huge cost and welfare lost of corporations' rent-seeking.The second part analyzes the behaviors of corporations' rent-seeking: analyzing its conditions, objects, paths and modes, analyzing the theory combining cost-income theory, analyzing the gain between the side of rent-seeking and the side of rent-setting.The third part is the case analysis of corporations' rent-seeking. Firstly, it does the dynamic analyses of the size of rent-seeking during our time of translation. And then, combing "Five Cases in Hubei Province", it analyzes the industry of architecture. At last, it sums the whole behavior of corporations' rent-seeking combing with the theory. The fourth part clarifies the effect of our corporations' rent-seeking during the time of translation and brings forward some advice aiming at evil rent-seeking. Corporations' rent-seeking makes severe aftereffect on many sides, so that we must constitute market economy that adapts to the economy, function discipline through institutional innovation and reinforce law and supervision. Only by the above methods, can we effectively keep away rent-seeking of corporations. The last part, that's, the fifth part generalizes the article simply.
