The state-owned enterprise is the pillar of our national economy, and a foundation of setting up socialist market economy. Since reform and opening-up, through the evolutionary reform of more than 20 years, we have made the enormous achievement in the reform of the state-owned enterprise of our country, the modern enterprise system of the responsibility with distinct right has already been set up basically. However, vigor of state-owned enterprise is not enough, the question such as being low of efficiency still can't be avoided. The state-owned enterprise reform wants to take setting up modern enterprise system as direction, the profound problem that will face afterwards during the course of entering and assaulting fortified position is how to strengthen the encouragement and restraint of enterprise's administrator, this is a modern enterprise's, for a long time unresolved problem, and is a subject that can't be ignored in the state-owned enterprise reform at present too.Based on principal-agent theory and multi-task principal-agent model, I analyze the reason that lead to those internal principal-agent problems in the state-owned enterprise, then it will be followed with the probing of how to establishing a sound incentive mechanism according to the measure difficulty of enterprises' performance. Finally, company's data have proved the conclusion upwards, that is most stated-owned enterprises needs to build modern corporate system and to incentive and restrain operators through standard corporate management structure, multi-reward system, perfect competitive market mechanism and honor effect.
