With five years'transition of entry into the WTO, Chinese financial Businesses which are opened both domestically and internationally, have formed into different levels of banking serving system and have broken the domestic and monopolist industrial structures of the commercial banks with versatile of banking mechanisms equally competing and developing. Because of not good enough mechanism for managing banking companies, the comprehensive poser of the domestic commercial banks have not yet caught up with its superior capital. The research on the model of mechanism for managing commercial banking mechanism and the exploration on the strategies for the managing mechanism is theoretically and practically significant to strengthen the comprehensive power of the commercial banking in the Chinese financial center.Based on the Contract Theory in Business and the Stakeholder Theory, in the light of the models for managing the companies and the particularity of managing the commercial banks, the thesis firstly explores the four typical models of mechanism for managing international commercial banks and analyzes the advantages and disadvantages of the four models as well as their enlightenment to our country, by using comparative and regulative analysis. Secondly, it analyzes the practical situation and many pertinent interest subjects of Chinese commercial banks, by using qualitative analysis. From the angle of managing the subjects of stakeholder, the paper designs the macro frame for managing the commercial banks in our country and it focuses on the construction of two aspects, the internal and external. Finally, in the process of Chinese commercial banks operating its managing mechanism, it analyzes some deficiencies such as the unclear possessors, imperfect internal controlling information mechanism, administrative style of managing frame and underdeveloped manager market and capital market etc. Meanwhile, it discusses in internal managing mechanism, the subjects and stock ownership of multi-property right should be adopted as well as using proper duty rights, competing stimulating mechanism and regulating evaluation mechanism; in eternal managing environment, it should be enforced to reveal the information clearly, complete the environment of banks for equal competition, establish the professional manager market and scientific mechanism of employing personnel placement as well as improve legislation and execution so as to realize the successfully corporate governance for domestic commercial banks and promote the improvement of its competitive power.In the light of the perfect of mechanism for managing domestic commercial banks, it is difficult to propose an original idea since there have been already many researches about it not only in theoretical aspects but also in practical aspects. Therefore, based on the previous researches, the thesis makes some original research from some concrete operations. First, the classifications are different from the common, which increases the controlling stocks models and internal and external factors. Second, on the analysis of the distribution of the companies'internal power, the paper makes use of the micro economics theory to establish a simple power graphic to explain the relationship among the mechanism of corporate governance, and efficiency of the banks and competition of the banks. Third, on the choice of the mechanism, our country should appropriately choose the effective mechanism according to the banks'different developing stages, historical features and business culture, while should not try to establish a common managing model, but different banks adopt different models accordingly, or a bank adopts a versatile of models at diverse stages.
