Interlocking Directorates In China: Formation Mechanism, Network Mode And Governance Effect

Interlocking directorate has become a widespread phenomenon in Chinese enterprises, but the scholars'study has little referred to it. Based on the interlocking directorate phenomena in China, this paper makes correlative academic and empirical study in order to get an extensive and deep understanding of it and provide some practice reference for Chinese corporation governance.With regard to the study method, the paper uses three main methods in the academic and empirical study. In analyzing the formation mechanism of interlocking directorates, the modes of interlocking directorates'networks and the inherent mechanism of governance effect, the paper uses the inductive method and integration method. In describing the interlocking directorate phenomena in Chinese public corporations, the paper adopts descriptive statistics method. In probing into the governance effect of the interlocking directorates, the paper uses investigation method and empirical method.The paper discusses the formation mechanism of interlocking directorates and the modes of interlocking directorates'networks. It describes the general state, distributing state and statistical characteristics. It probes into the inherent mechanism of governance effect, and then makes empirical study based on the interlocking directorate phenomena in China. Through this paper, we integrate the formation mechanism of interlocking directorates and two typical modes of interlocking directorates'networks. The conclusion indicates that interlocking directorate is very widespread in China. In a whole, interlocking directorates have positive governance effect and benefit the improvement of governance effect.
