To the high-tech enterprise which with high huaman capital, it's effective stimulation to the key staffs is always payed close attention by people who work at theory or practice reseach.In recently years, the gradually application of stock rights stimulation have payed it's initial role in our enterprise.However, it's pity that in many practical applications, due to the lack of systematic thinking and design, stock rights incentive becomes invalid and the effect is not satisfactory.Based on the relevant research home and abroad , combined with qualitative analysis and quantitative analysis altogether with normative analysis and empirical analysis approaches, and account of the Trust-Proxy theory, Incentive thory and Human Capital Property Rights theory, this thesis is to seek the effective ways on the utilization of stock rights incentive in Chinese high-tech enterprises by studing, which can adapt to these enterprises'characteristic and stasify their staffs'needs.At first , the paper analyzes the reasons of apply stock incentive mechanism to the high-tech enterprise, the state and problem of it's application .Then, the paper give an account of the connotation, flow and steps of the application of stock rights incentive in high-tec enterprise.After that, the writer tell us the high-tec enterprise should not only choose reasonable people to stimulate, use rational way, design scientific rate of stock and strengthen the administration of stock rights; but also pay attention to performance appraisal and the stock culture of enterprise.At the same time, the two aspects must contact with each oter closely. Throuth these, the high-tech enterprise have the probability to achieve the anticipated goal. At last, the paper pay reseach on the different application of the three kinds of key staffs' stock rights stimulation in high-tech enterprise, these staffs are the talents who work on management, techonology and market.
