Professional managers play a decisive role in the running of a modern enterprise. With China's enterprise reform progressively deepening, seeking a reasonable model for the management of professional manager compensation management model has been an important linkage to the establishment of the enterprise stimulation and restriction mechanisms. At present, we can see the current compensation model has been unable to satisfy the needs of the development of market economy, as well as mobilize the professional managers'enthusiasm. Thus an effective professional managers'compensation system need to be established, which can truly reflect the value of professional managers'labor and social values. In this thesis, the main study aim is to advance a system for profession manager compensation combined with the reality on the basis of Proxy-Agency theories and psychological contract theories. Questionnaire survey was used in this research. The main results indicate current compensation model can't stimulate managers fully, thus psychological contract theories are introduced in the compensation pattern design. The study focused on the influence on compensation pattern from psychological contract and Proxy-Agency theories so as to establish compensation pattern.This thesis is divided into five chapters: The first part mainly introduces the background of subject,the research way of subject,the major innovation of the study and research . The second chapter, firstly, stipulates the research subject, looks through the main basis theories of compensation management pattern; secondly, the chapter raise psychological contract theories which is introduced in the compensation pattern design is an effective supplement to Proxy-Agency theories.
