On Corporate Governance Structure Of The Rural Credit Cooperative Union Of Lingbao

In 2003, the notification about deepening the reform of the Rural Credit Cooperative by the State Council has made a great influence, but also brought out some new problems. One important reason that restricts the healthy development of rural credit cooperative currently is the unconsummated of the Corporate Governance Structure. How to complete the Corporate Governance Structure of rural credit cooperative effectively and make it be self-operating, self-restricting, self-developing and self-guaranteeing, is still an important subject for current theory and practice.This paper firstly elaborates the theoretical base of Corporate Governance Structure and discusses the influence on Corporate Governance Structure made by the establishment of the property right and stock right, defines the meaning of Corporate Governance Structure of rural credit cooperative, basing on relative theory; secondly, it compares and analyzes the three pattern of the Corporate Governance Structure of rural credit cooperative systematically—the pattern of rural commercial bank, rural cooperative bank and union rural credit cooperative under the system of cooperation. By means of the questionnaires, it analyzes some problems, such as, the establishment of the property right and stock right in the Corporate Governance Structure is unreasonable, the system of the incentive and restraint is imperfect, etc. Thirdly, it analyzes the resource environment of inside and outside of rural credit cooperative union in Lingbao, finding out that the pattern of rural cooperative bank is the best one and confirms the necessity and feasibility of the arrangement of rural cooperative bank in Lingbao; finally, it gives the main content and executive steps of the reform of Corporate Governance Structure, and it puts forward some suggestions for the construction of cooperative financial system and rural credit cooperative. These research conclusions of this paper will contribute to the further reform of other credit cooperatives in Henan Province.
