By the method of case study, this article analysised the reforms in non-listed company of Henan branch, Sinopec from an empirical perspective. Since 2000, non-listed company of Henan branch, Sinopec had experienced a long difficult course of reform and development. The company developed a variety of entities at first, then carried out restructuring shunt, then cleaned-up investment and diversification, then converted to asset management company, and became integrated management at last. By studying the history of this reform, this article explored the laws of reform and development of the state-owned enterprise, analysised the motivation of these reform stages, summarized the policies of these reform stages, sorted all stages of the reform and development process, summarized the successful experience, pointed out the reform-induced conflicts and the remaining issues. Finally, the article proposed three recommendations on the current problems: to strengthen the management of physical assets, to promote the socialization of logistics property, and to handle reform-induced conflicts and the remaining issues.This article is divided into five chapters. The first chapter is introduction, which introduced the background of the topics , the significance of the reform of state-owned enterprise and the literature review. The second chapter elaborated on China's SOE reform history and the reform process of Sinopec Group. The third chapter analysised the motivation, the policies and the process of these reform stages. The fourth chapter summarized the successful experience of the ten-years'reforms, and pointed out the reform-induced conflicts and the remaining issues. The fifth chapter put forward three proposals on the current problems.Because of the limitation of the author's own knowledge and unavailability of some key data, researches on some of the issues is relatively superficial in this article. And the proposals should be further explored and practiced.
