Along with the continuous development of Chinese socialist market economy system, and the deepening reform of the state-owned enterprise, their executive team's quality, effort level and efficiency have became the key factors which influence the enterprise operating costs and development. In order to effectively improve executives efforts level and work efficiency on condition that state-owned enterprises established in the executive ability,it's under the precondition of state-owned enterprises to of purpose, we must pay more attention to how establish the fair income distribution mechanism of internal team executives, and make a closely contact of the executive team even the personal interests and enterprise performance.Since the nineteen eighties, executive's compensation have became the focus of cademic circles. In recent years, people continuously explore an effective scheme in incentiving the executive team by compensation and assessment method. Thus, the annual salary system and equity options which could effectively stimulate the enthusiasm of the state-owned enterprise executives have emerged as the times require effectively stimulating the enthusiasm of the state-owned enterprise executives.The the annual salary system and equity options also improve state-owned enterprise management results to a certain extent and made gratifying achievements in practice. But there are some problems,such as how to make a raletion between State-owned enterprise executive pay its performance and the enterprise performance of connection degree, how to carry out the effective supervision the legal system and How to ensure the income distribution executives internal team fair are still exist. Therefore, how to design salary and reward system to ensure the internal fair of state-owned enterprise executives team,and how to make a effective relevance in senior executives compensation and their assessment become more and more important.The paper also make the upper matters as its key research problems.The paper make a analyse with the current situation in management of State-owned enterprise executive team's salary and performance under the guidance of the existing research results home and abroad.The paper also gives its conslusion to the problems in current management system and deep analysis to the root causes for the sake of saking an effective methods whicn could guarantee the faieness in internal executives team and make a linkage between compensation and performance.
