In this knowledge economy era, the focus of competition in enterprise has shifted to knowledge-based competition from resource-based competition because of the uncertainties of environment and the rapid development of technologies. Knowledge has become the most strategic resource in organization. In order to adapt to the changes of the market environment, overcome the shortcomings of the traditional pattern of knowledge innovation, and improve the innovation capability of the enterprise, the knowledge alliance has become the most strategic choice of enterprises which is to accelerate the knowledge innovation and transformation. Because the final aim of knowledge alliance is to put the research results into market and get high income, the rationality of benefit distribution would be the basis for the harmonious development of the alliance. During the operation of knowledge alliance, the technology structure and the evolution of innovation behavior are affected by knowledge spillover effect. The analysis and measure of knowledge spillovers will help enterprises to solve the difficulty of the definition of knowledge output and improve the rationality of benefit distribution, so that the core cohesion of knowledge alliance would be improved. Therefore, the research of benefit distribution of knowledge alliance based on spillover effect has become the most urgent problem in management.In this paper, the effective benefit distribution mechanism for alliance is explored. First, the theory that the reasonable benefit distribution mechanism is the basis for the stabilization of knowledge alliance was proposed. And the characteristics and measurements of knowledge spillovers are also studied. Secondly, in the analysis of the alliances benefit distribution, four factors are focused on which are knowledge innovation, cost, risk and level of working. Finally, a benefit distribution model based on knowledge spillovers is designed. Combined with case analysis, the benefit distribution mechanism for alliance is introduced, and its practicality and effectiveness are also improved.
