Related party and related party transactions are developed with the pace of the internal structure of companies. The aims of related party transactions change from reducing cost and improving efficiency to transferring profits and concealing loss, owing to the related party transactions becoming more popular in the common transactions of the listed company. So relevent apartments focus on supervising the transations made by listed companies and their related parties. And to make sure the listed companies disclose the related party transactions clearly is one of the effective ways to justify them legal or not.By comparing with IAS24, SFAS57 and CAS36, the definition of related party and rules of disclosure are clarified in this essay, which become a theory of the disclosure. In the third part of the essay, the writer summarize the types and characteristics of related party transactions among companies listed in mainland, and reveal the problems in the market. And the final part of the essay indicate that we should solve these problems by two parts:external supervisions and internal governance structure, including the suggestions of improving the CAS36.The essay concluds that related party guarantees and capital occupation are the main types of the related party transactions by collecting the information disclosed in the annual report of the listed company, and some cases are used to reveal the problems.The essay make contributions to make a definition of related party by comparing IAS24, SFAS57 and CAS24, design a program to disclose the operators'salary, and suggest establishing a system to assessing the quality of the disclosure in the financial report.
