Apparel products has following characters:shorter lifecycle, wider varieties, higher marginal profits but lower residual value. Considering above characters, suppliers, manufactures and retailers in an apparel supply-chain must work harmoniously to accelerate products flow and realize the highest value of apparels. However, each member in supply-chain is relative independent and different from the others in profit purchasing, cooperation culture, operation level and the etc.. So Differences may causes cooperative risks.There are many kinds of Cooperative risks in Apparel supply chain, current researches usually focus on a special kind but seldom review drawbacks in the whole supply-chain systematically. In order to enrich existed solutions, firstly this paper analyses characters of apparel products, supply chains and corporations modes and then points that results caused cooperative risks are followings:first, there are drawbacks in apparel supply-chain structures; second, current operation modes does not suit characters of apparel products anymore. So this paper focus on researching Governance Mechanisms of Corporative Risks in Apparel Supply-chain based on Structural Optimization and Operation Mode Innovation.First, Structural Optimization. Apparel supply chain Structure is the way that how members connect and bind each other. A proper structure involved two aspects. First, how to allocate and balance rights between members to form a solid structure. This paper focuses on rights on decision-making, information sharing, channel checking, price setting, supervising and profit division. Second, how to integrate members'organization and functions. In order to decrease cooperative obstacles caused by independency, members in apparel supply chain should build unified performance system, adjust internal and external organization structure, cooperate with third parties as well as mix R&D, purchasing, logistic and marketing functions. Second, Operation Mode Innovation. Based on structural optimization, This paper focused on operation mode innovation in manufacturing section and retailing section separately. In manufacturing section, this paper raises Accurate Response to deal with the risks between manufactures and suppliers and take a example analysis to prove the validity of this mode. In the retailing sections, this paper raises Lean Retailing to realize higher-frequency replenishment with fewer amounts. Next the forecast methods, Inventory Control Policy under this mode are discussed and simulations using Excel VBA are carried out to prove that this mode will decrease some cooperative risks obviously.
