Study On State-owned Commercial Bank's Corporate Governance Structure Of China

Governance structure, the theory and system of which is to maturity, is the hot topic of the theory after it enter into many economists' in 1980s.But economists did not go deep into the governance structure of commercial banks. Until 1997, Southeast Asia financial crisis deepened the attention on the question. Economists did a series of consideration combining theory with practice. However, commercial bank is special financial enterprise whose operations objective, rocuratorial relationship, capital structure, competition with control is specific and complex. Study on governance structure of commercial bank does not the easy application of governance structure theory. From property relations system, modern commercial banks exist in joint-equity commercial banks. Every kind of governance structure, which exits in the word, no more unfit the transition economy. But we can benefit other county's experience, as well as optimize governance structure both from the internal and the external.By comparing joint-equity commercial banks, we find that state-owned commercial banks have low capital sufficiency rate, poor assets quality and capital profitability. Therefore, state-owned commercial banks should complement the capital funds gap by kinds of approach, and advance the counter-risky and profitability. By using SFA , the paper analyzed that property relations is positive correlation with the business efficiency. If we change state-owned commercial banks into joint-stock commercial banks, the effectiveness number will improve 32.18% to 69.88%, from which we can find it is necessary that we should go on reform the governance structure of state-owned commercial banks. State-owned commercial banks should draw on the experience of other countries, establish and perfect the governance structure.
