In our country banking setup, the benefit of state-owned commercial banksthat got the ascendancy over, not only affects the state-owned commercial banks'management and marketplace competition on the microcosmic, but also affects effectivenessof resources layout and latent capacity together with quality of economic growth on themacroscopic. So,it is the core task to construct an effectivecorporate governance in the state-owned commercial bank of China.The major point of this article is that the governance of state-owned commercial bank isa kind of stakeholder governance, we should give more considerations of the benefit ofstakeholders. The governance structure of it should take the design of inside mechanism asmore important, of which especially important is the establishment of the risk controlmechanism. As for the ownership reform, we should take an positive attitude in theintroduction of foreign strategic investor. Make sure that the board of directors plays a keyrole in the corporate governance of banking.Looked from the structure of this article, apart from the introduction,there are three partsin all: First,I analyzed the theory of corporation governance. Second,I analyzed the presentsituation and difficult position of the corporate governance in the state-owned bank. Third,according to the request of the establishment of modern banking system, I proposed theperfect measure of corporation governance of state-owned commercial bank.
