This thesis takes WUXI scientific and technological zones in Jiangsu province as its demonstrative analysis objectives, by applying the qualitative with quantitative method to seek the integrated point of technological transfer of transnational corporation (TNC), independent technological innovation and development of the scientific and technological zones. And to answer the questions about development strategy relating to the scientific and technological zones under new domestic background of great changes of technological transfer strategy of TNC to China' s accession to WTO. With the logical start of international technological transfer theory and strategy of TNC which provide theoretically analytical tools for analysis of industrial and technological transfer as well as technological innovation taken by TNC in the scientific and technological zones of WUXI, this thesis studied the new change of technological transfer strategy, measures of TNC to China under new background in recent years. Through analysis on several groups of number of the current condition of WUXI scientific and technological zones, we can draw some conclusion about realistic problems with scientific and technological zones of China. And base on the analysis and conclusion, the thesis raise the development strategy of scientific and technological zones at the initial stage of the 21 century and thought that facing the global challenge led by TNC, our scientific and technological zones should carry out three major strategies of positioning industries, utilizing foreign funds and coordinative innovation.
