Since 1990s', informationization has become a spotlight of the world along with the development and application of information technology, computer technology, especially network technology. Electronic business has been growing up with high speed and Internet is being used as business platform. On the premise of guaranteeing the valuable information exchanged fairly and securely, it can strengthen people's confidence to take part in, thus boost up the popularization of Electronic business. The fairness and information's security has become the key issues in the Electronic transactions and become one of the research focuses day by day.On the basis of large quantities of references, the fairness rule and fair exchange protocol is analyzed in this paper. On the foundation of N.Asoka's definition of fairness, fairness is expanded into strong fairness, true fairness, probability fairness and weak fairness, and the fairness of gradual exchange protocols and third party protocols is deeply analyzed based on our new fairness definition. Considering with the disadvantage of fair exchange protocol, a new fair exchange protocol based on offline TTP is proposed to avoid the bottleneck in case of masses information exchanged. Finally, a model for signing electronic contract is proposed, in which its mechanism and workflow are included. The model is proved to meet strong fairness.Our main researches are summarized as follows:①the basic requirement of fair exchange and the fair rule of electronic commerce are first summarized. Then, a new fair definition and fair rule are put forward. Meanwhile, the fairness of four protocols for fair exchange is analyzed in detail.②the model of fair exchange, gradual exchange protocols and third party protocols are discussed. A fair information exchange protocol based on offline TTP, which can reduce the information traffic and believability of the third party, is proposed. In the protocol, the believable third party acts as the role of notarization and arbitration in order to deal with the disputes in the exchanging process and the identify evidences.③a model of singing electronic contract is presented, in which PKI authentication is adopted to identity participants, contract is transmitted in PDF or XML format so as to meet diverse requirement of contract text, and RSA -based encryption technology is applied in contract negotiation and contract transmission in order to guarantee security and privacy, and timestamp based digital signature is used to ensure integrity, consistency and non-repudiation. Finally the proposed is proved to meet strong fairness on the example of signing the contract of real estate sale.
