Manager system is a very important topic of corporate governance, whichincludes the basic concept of the corporation manager, the corporation manager’s legalstatus, rights,duties and civil obligations. Therefore, the study of the above contentshas become the focus of this article. Besides introduction and conclusion, there arefour parts in this paper.The first part is about the basic concept of the manager. This part mainly discussesthe definition of the manager, the setting mode of manager and the value of themanager system. Firstly this part defines that the manager is the corporation executivehead who has been hired by the the Board of directors and do activities of theauxiliary business executives; at the same time, this pert analyzes our countrymanager setting mode and describes the cause of different set pattern; finally this partexpounds the necessity and importance of perfecting manager system.The second part is about the qualifications and legal status of corporation manager.The author thinks that the elegant manager must meet the positive and negativequalifications. Meanwhile, the focus of the full text is the manager’s legal status, thispaper tries to expound the relationship between related subject and the manager, andto clear the legal status of the senior manager.The third part of the study is the rights of corporation manager, which include themanagement right of internal and external representation. the author explained somedefects of our "company law" in the manager’s legislation of external representation,and put forward my proposals, My article stressed that the manager rights would bethe focus of future research, the author also put forward specific solutions for theproblems in the practice of the manager authority.The fourth part is about the duty and liability of corporation manager. Themanager, as the company’s senior management, should solve which duty belongs tothem and how to perform the obligation of problems; The civil liability of managermainly include that the manager fails to perform his obligations, causing losses to thecompany and the third cases. Thereby they should bear what kind of responsibilityand how to assume the responsibility of the problem. At the same time, the authorputs forward the suggestions for the shortcomings in China’s legislation in this aspect.Finally, the author gives some advice for the future direction of the companymanager system, and hope this paper can help to perfect the corporation managersystem.
