Since 1978, China's education of Private College has made a considerable progress, and become an important part of higher education in higher education and makes a significant contribution to its mass instruction and diversified needs. However, there are still many difficulties and problems during the process of its development; first, the external administration system of private higher learning institution is incomplete, second, the internal administration mechanisms are unsound. These two major issues in the practice of private higher learning institution severely restricted the health and sustainable development in our province.A perfect university administration mechanism should include both internal administration and external administration; the external administration is the framework and implementation of internal administration. And the internal administration which based on the external administration is also its endogensis system arrangement. This paper, basing on the economic theory, makes a systematic research on internal and external administration structure of China's private higher learning institution, on the basis of theoretical analysis. According to the investigation of private higher learning institution in Hunan province, and combined with cases, the paper analyses the current administration situation from the point of internal and external administration, has studied its governance model and compared it with international level, extract some enlightenment to it. It, as well as puts forward a common administration system with improving the main line as the leading role, including macro-and micro-incentives incentives, at the same time, combined the dominance with the recession administration to establish private higher learning institution...
