For the significance to the law, it provides work and understanding of the system, so that enable the legal science research to get rid of the law principle and concept legal science formalism, and has enriched the legal science analysis method.The economic analysis of the law which basis on the new classical micro-economics is the mainstream paradigm of law and economics. Law and Economics introduce the economic analysis the analysis of the legal issues, enriching the law's methodology. In spite of its contribution, there is a serious deficiency .It is faced with criticism from all sides. Therefore, Law and Economics must be reflect amend and expand.
