Shareholders' rights and interests in limited duty company are the rights been enjoyed by shareholders as one of the company members.It is important behind doubt that the right of shareholder embodies the goal of the person artificial person of company.Company is not only a kind of economical organization,but also a diminution society.Exercising of the rights among company shareholders which takes close relations to the achievement of company may influence or decide the correlation interests of other main bodies.Therefore,the management of company depends on whether the shareholders' rights were exercised suitably and protected most qualify. This thesis focuses researching angle of views on the rights of duty limited company,andit does't involve the related problems about joint-stock company.This article start with discussing the definition and the characteristic of the shareholder's rights,then,it introduces the model of the shareholder right' s exercising structure,at last,it expounds a final settlement we can adopt if we can't distribute each one's rights and obligations when exercising shareholders' right involves the rights of other correlation subjects.
