| With the economical development of modern times, human capital is paying an indispensable role in company development. Generally speaking, human capital is divided to three types: fist is common human capital, just as a labor worker; second is technology human capital; third is management human capital, professional manager belongs to this type, and the professional manager is becoming very useful and important in modern company. Of the three types of human capital, the third one is the most uncertain, whose value is most difficult to estimate. That is why I choose the professional manager as my research target.Besides the uncertain price of human capital, in the company law, there are several reasons to exclude the human capital as a contribution form, such as to protect the creditor, to meet the requirement of transformation of the form's ownership. Although the modern law and regulations keep a negative attitude to human capital contribution, this paper pays attention to the basic function of contribution to show that the human capital of the professional manager fits in with the contribution function; in the other side, this paper focus on the positiveness of human capital contribution of professional manager to illustrate rationality of professional manager human capital contribution. At last, this paper discusses the related system of professional manager human capital contribution, including the evaluation system, the shares sale restriction, the responsibility of the professional manager when bankruptcy occur and the other restriction of shareholder's rights of professional manager. |
