Jurisprudential Study On Corporate Governance Of Stated-owned Energy Enterprise

With the sharply increasing in Chinese petroleum's foreign reliance and the frequently happening of bad governance, "How to improve the governance of Chinese state-owned energy enterprise" already becomes the key issue to Chinese energy security. This paper proposes that the best practice for Chinese state-owned energy enterprise is "joint governance by stakeholders" due to its particular legal attribute. Although state-owned energy enterprises include a lot characteristic of private legal person, essentially it is a public legal person. It not only includes comparison between UK-American and Germany-Japan government pattern from the macroscopic view, but also includes comparison among three kinds energy enterprise with different legal nature from the microscopic view. The pattern, joint governance by stakeholders which is the best choice for China's state-owned energy enterprise, requires that the government clearly defines the role of the shareholder, the legislator and industry administrator.
