This paper proposes that the best practice for Chinese state-owned energy enterprise is "joint governance by stakeholders" due to its particular legal attribute. Besides the introduction and conclusion, this paper includes three parts.Partâ… : The particularity of State-owned energy enterprise's legal attribute and its governance. Although state-owned energy enterprises include a lot characteristic of private legal person, essentially it is a public legal person. So its governance includes not only the general entrusting problem, but also some particular problems such as diversified governance target, the relationship between group and its subsidies etc.Partâ…¡: Comparison study on energy enterprise's governance. It not only includes comparison between UK-American and Germany-Japan government pattern from the macroscopic view, but also includes comparison among three kinds energy enterprise with different legal nature from the microscopic view.
