Purpose:As a legislative arrangement of law, the validity of business registration shouldbe definited in accordance with the value of law. With the blank of its definition in law,the misunderstanding of the validity of business registration inevitably engenders thebewilderments in practice as well as in academic field. This paper tries to offer afeasible suggestion on the clarification of the validity of business registration duringthe lawmaking process in our country.Method:T his paper discusses the validity of business registration in our country throughanalyzing the jurisprudence and comparing the various views holding by the scholars. Structure:The paper consists of four chapters:Chapter One gives a lay of the land by an overview of the basic theory onbusiness registration system.Chapter Two goes deep into the concept of the. legal validity. Further more,comparisons are made between the two chief purposes as well as the dual nature ofbusiness registration. It comes to conclusion that ensuring the security and highefficiency of business transactions is the legal value of business registration system.Business registration should take on dual characters of both administrative licence andadministrative confirmation nature.Chapter Three gives a short account of the stipulations on validity of businessregistration in current laws. It analyzes the shortcoming of the legal effective validityof registration which is the prevalent view in practice.Based on the former three chapters, Chapter Four puts forward the suggestion onperfecting the validity system of business registration.
