There exist some actual and legal problems in practicing the credit asset securitization in China at present. On the basis of a complete introduction to the general implications, principles, practice and operations, this paper analyzes the present situation of China's commercial banks, and makes clear the necessities, favorable conditions, operational processes and relevant legal matters in the asset securitization. Moreover, it also makes a comparison of the present proposals and brings forward some opinions and suggestions in feasible operational modes, which would be adapted to the ongoing credit asset securitization in China.The paper targets this issue through the next five sections.The first section is the lead-in, which gives an outline of the research subjects, causes, aims and conclusions.The second section (Chapter One) is the brief introduction to the credit asset securitization. Chapter one is divided into four parts. Part One clarifies the definitions of asset securitization. Part Two analyzes the nature and principles of laws relating to asset securitization. Part Three introduces the practice and operational processes of the credit asset securitization. Part Four analyzes the profits and risks of originator and investors.The third section (Chapter Two) focuses the necessities and favorable conditions to practice the credit asset securitization through an analysis of present problems in China's commercial banks.The fourth section (Chapter Three) analyzes the legal dilemmas for the credit asset securitization in China, and brings forward the solutions.The fifth section (Chapter Four) highlights the selections of gearing proposals to the credit asset securitization. In accordance with the present situations in China, the paper brings forward some opinions and suggestions in feasible operational modes for the credit asset securitization at present phase.
