An important content of the modern company's administration structure is to make a set of perfect mechanism of encouragement and restraint according to the interests of the owner and other stake persons. The stock option plan, as a kind of long-term incentive mechanism, firstly originated from U.S.A.in the 1950s and extensively initiated and applied by some high-new poly-talented companies of Silicon Valley of California of U.S.A. in the 1960s and then rapidly prevailed on the later stage of 1980s. The stock option mechanism is adopted by 90% of the listed company of U.S.A. and is favor too in developed countries such as European, Japanese, etc.Influenced by such international trend, enterprises of our country also try to use this brand-new incentive mechanism. It has been proved by foreign practice that the adoption of stock option system must rely on a highly perfect market economic system and with a perfect legal system as guarantee. But it is only more than ten years from the setting up of socialist market economy system of our country to it's developing to the present. Our economy system is still in exploring stage. There are great differences between our country and developed countries in economic base and legal system foundation. If we totally imitate their mechanism, there will be the phenomenon of "not acclimatizedding ". So it is a subject worth probing into and studying deeply that how to establish a stock option incentive mechanism which can match with the goals ofenterprises according to our country's conditions.This thesis regarded stock option mechanism as the core of studying, excavated its realistic utility. And in an all-round way, objectivelyanalyzed the feasibility and obstacle of the implement and development of this mechanism in our country on the basis of experience of U.S.A. on the theory, design and practicing of the stock option system. And then through relatively studying, put forward suggestion and scheme of establishing a stock option system with Chinese characteristics that accord with the actual conditions of our country.
